Terms of Service

1. Introduction and Acceptance

These Terms of Service ("Terms") constitute a legally binding agreement between you and PRYZM Defense Systems, Inc. ("PRYZM," "we," "us," or "our") governing your access to and use of the PRYZM sovereign AI platform, website, Customer Portal, and related services.

By accessing or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are entering into these Terms on behalf of an organization, you represent that you have authority to bind that organization.

2. Definitions

• "Services" means the PRYZM platform, software, APIs, Customer Portal, and support services
• "Customer Data" means data processed by your instance of PRYZM within your infrastructure
• "Evidence Packs" means the cryptographic audit trails generated by the platform
• "Authorized Users" means individuals you authorize to access the Services

3. License Grant and Restrictions

License Grant

Subject to your compliance with these Terms and payment of applicable fees, PRYZM grants you a limited, non-exclusive, non-transferable license to use the Services for your internal business operations.

Restrictions

You may not:

• Sublicense, resell, or distribute the Services to third parties
• Reverse engineer, decompile, or disassemble the software
• Remove or alter any proprietary notices or labels
• Use the Services to develop competing products
• Exceed licensed usage limits (users, agents, compute hours)

5. Fees and Payment

• Subscription fees are billed in advance according to your selected plan
• All fees are non-refundable except as expressly stated
• We may change pricing with 60 days' notice for renewal periods
• Overdue payments accrue interest at 1.5% per month

6. Intellectual Property

• PRYZM IP: We retain all rights to the platform, software, and documentation
• Customer Data: You retain all rights to your data processed by the Services
• Evidence Packs: You own the Evidence Packs generated within your environment
• Feedback: You grant us rights to use feedback to improve our Services

7. Confidentiality

Both parties agree to protect confidential information received from the other party with at least the same degree of care used to protect their own confidential information, but in no event less than reasonable care.

8. Warranties and Disclaimers

PRYZM warrants that the Services will perform materially as described in the documentation.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRYZM'S TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. IN NO EVENT SHALL PRYZM BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

10. Indemnification

You agree to indemnify and hold harmless PRYZM from any claims arising from your use of the Services, violation of these Terms, or infringement of third-party rights.

11. Term and Termination

• These Terms remain in effect until terminated
• Either party may terminate for material breach with 30 days' notice
• Upon termination, your license to use the Services immediately ceases
• Provisions that by their nature should survive will survive termination

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes shall be resolved by binding arbitration in San Francisco, California, under JAMS rules.
